Terms of Service

1. Parties & Definitions

These Terms of Service ("Agreement") govern your use of FluxOffer B.V. — a performance-based CPA affiliate network connecting Advertisers with Affiliates who drive qualified traffic to dating, adult, and related vertical offers. By registering, accessing our dashboard, or promoting any Offer through the Platform, you agree to these Terms in full.

This Agreement constitutes a legally binding contract between FluxOffer B.V., a company incorporated under the laws of the Netherlands ("FluxOffer", "we", "us", "our"), and any individual or entity ("User", "you") that accesses or uses the FluxOffer platform, website, or related services.

• "Platform" means the FluxOffer affiliate network software, dashboard, tracking infrastructure, and API accessible at fluxoffer.com.
• "Affiliate" means a registered User who promotes advertiser offers in exchange for performance-based commissions.
• "Advertiser" means a registered User who provides offers to be promoted by affiliates through the Platform.
• "Offer" means a specific campaign or product an Advertiser makes available through the Platform.
• "Conversion" means a qualifying action completed by an end user as defined by the applicable Offer terms.
• "Traffic" means clicks, impressions, leads, or other user interactions generated by Affiliate promotional activity.

2. Eligibility & Registration

To use the Platform, you must:

• Be at least 18 years of age and have the legal capacity to enter contracts
• Be a legally operating business or individual acting in a professional commercial capacity
• Provide accurate, complete, and current registration information
• Maintain the security and confidentiality of your account credentials
• Promptly notify FluxOffer of any unauthorised access or security breach

FluxOffer reserves the right to approve or decline any registration at its sole discretion. Providing false or misleading information during registration is grounds for immediate termination without payment of outstanding balances.

3. Affiliate Obligations

As an Affiliate, you agree to:

• Promote only Offers for which you have received written approval from FluxOffer
• Use only creatives, landing pages, and promotional materials approved by FluxOffer or the Advertiser
• Accurately represent all Offers to end users and not make misleading claims
• Comply with all applicable laws, regulations, and platform policies in every GEO where you run traffic
• Implement tracking correctly as specified in the FluxOffer Tracking Setup documentation
• Promptly disclose your traffic sources upon request from FluxOffer or an Advertiser
• Maintain your own compliance with GDPR, CCPA, CAN-SPAM, and other data protection laws as applicable
• Not engage in any activity that damages the reputation or business interests of FluxOffer or its Advertisers

4. Advertiser Obligations

As an Advertiser, you agree to:

• Ensure all Offers comply with applicable laws in every targeted GEO
• Pay all agreed commissions accurately and on time without scrubbing, shaving, or manipulation
• Provide functional, accurate tracking pixels and postback URLs
• Notify FluxOffer immediately of any material changes to Offer terms, payouts, or landing pages
• Maintain sufficient budget to cover commissions generated by Affiliates
• Not directly recruit or solicit FluxOffer Affiliates outside the Platform

5. Prohibited Activities

The following activities are strictly prohibited on the FluxOffer Platform and will result in immediate account suspension, forfeiture of commissions, and potential legal action:

• Fraudulent Traffic: Generating clicks, conversions, or leads through bots, scripts, click farms, VPNs for masking fraud, or any automated non-human means
• Incentivised Traffic: Offering users rewards, cash, or incentives to complete conversions unless explicitly permitted by the Offer
• Brand Bidding: Bidding on trademarked terms of Advertisers or FluxOffer in paid search unless explicitly authorised in writing
• Misleading Advertising: Using false claims, fake testimonials, misleading urgency, or deceptive pre-landers to generate conversions
• Spam: Sending unsolicited bulk email or SMS in violation of CAN-SPAM, GDPR, or applicable anti-spam laws
• Cloaking: Presenting different content to tracking bots versus end users to circumvent quality checks
• Account Sharing: Sharing login credentials or operating multiple accounts without prior written approval
• Reverse Engineering: Attempting to reverse engineer, scrape, or copy FluxOffer's Platform, offers, or proprietary data

6. Offer Terms & Caps

Each Offer listed on the FluxOffer Platform is subject to specific terms displayed in your affiliate dashboard, including but not limited to:

• Payout model: CPA (cost per acquisition), CPL (cost per lead), CPS (cost per sale), or RevShare as specified per Offer
• Allowed traffic sources: Push, native, display, SEO, social, email, or other channels — only those explicitly permitted
• GEO restrictions: Countries where the Offer may or may not be promoted
• Conversion criteria: What constitutes a billable conversion (e.g. registration, first purchase, subscription)
• Daily/monthly caps: Maximum payable conversions per Offer; traffic beyond cap may not be compensated
• Hold period: Validation window before conversions are approved for payment (typically 24–72 hours)

FluxOffer may pause, modify, or terminate any Offer at any time. Affiliates must stop promoting an Offer immediately upon notification of pause or termination. Promoting paused Offers after notice may result in forfeiture of associated commissions.

7. Payments & Commissions

FluxOffer operates on a Net-7 payment cycle. Commissions earned during a calendar week (Monday 00:00 UTC to Sunday 23:59 UTC) are processed and paid within 7 business days of the week's close, subject to the following conditions:

• Your account balance meets the minimum payout threshold of USD $100
• Your payment details are verified and on file
• No active fraud investigation or compliance hold is applied to your account
• All conversions have cleared the advertiser's validation period (typically 24–72 hours)

Accepted payment methods include: bank wire transfer (SWIFT), USDT (TRC-20 and ERC-20), Bitcoin (BTC), Ethereum (ETH), Payoneer, and WebMoney. FluxOffer is not responsible for fees charged by receiving financial institutions or blockchain network fees.

FluxOffer reserves the right to withhold payment and conduct an investigation if there is reasonable suspicion of fraudulent activity. If fraud is confirmed, affected commissions are forfeited and the account is terminated. All approved commissions are final. FluxOffer does not retroactively reverse approved payments except in cases of confirmed fraud.

8. Reversals & Chargebacks

Advertisers may reverse conversions that fail validation — including fraudulent signups, duplicate accounts, chargebacks, refunds, or traffic that violates Offer terms. FluxOffer will notify Affiliates of reversals in the dashboard with the reason code where available.

• Reversals are deducted from your current or future commission balance
• Disputes must be submitted within 14 days of the reversal with supporting evidence (traffic logs, source breakdown)
• FluxOffer's review decision after investigation is final
• Systematic invalid traffic may result in account suspension and commission forfeiture

FluxOffer maintains a zero-scrubbing policy for legitimately approved conversions. Reversals apply only to conversions that fail advertiser validation or violate these Terms — not to reduce Affiliate earnings arbitrarily.

9. Tracking & Attribution

All attribution is based exclusively on FluxOffer's tracking infrastructure. In the event of a discrepancy between FluxOffer's recorded conversions and a third-party tracker, FluxOffer's data is considered authoritative unless a material technical error can be demonstrated. Affiliates acknowledge that minor discrepancies (less than 5%) are normal across tracking systems and are not grounds for payment disputes.

Affiliates are responsible for implementing tracking correctly in accordance with the API Documentation and postback instructions provided by your account manager. FluxOffer is not liable for lost conversions resulting from incorrect affiliate-side tracking implementation.

10. Fraud & Quality Policy

FluxOffer employs a multi-layer AI fraud detection system that continuously monitors traffic quality. FluxOffer may, at its sole discretion, withhold commissions associated with traffic determined to be fraudulent, low-quality, or in violation of Offer terms. Affiliates will be notified of any withholding within 5 business days and given an opportunity to respond with evidence.

FluxOffer's determination following review is final. Persistent fraud attempts will result in permanent account termination, reporting to industry fraud prevention databases, and potential civil or criminal referral.

11. Intellectual Property

All FluxOffer brand assets, software, documentation, and proprietary data remain the exclusive intellectual property of FluxOffer B.V. Affiliates and Advertisers are granted a limited, non-exclusive, non-transferable licence to use approved FluxOffer creatives solely for the purpose of promoting Offers through the Platform. This licence is revoked upon account termination.

You may not reproduce, distribute, modify, or create derivative works from FluxOffer's intellectual property without prior written consent.

12. Confidentiality

Both parties agree to keep confidential all non-public information shared in connection with this Agreement, including but not limited to: offer payouts, conversion rates, campaign performance data, technology systems, and business strategies. This obligation survives termination of the Agreement for a period of 3 years.

13. Termination

Either party may terminate this Agreement with 7 days written notice. FluxOffer may terminate immediately and without notice in the case of fraud, material breach, or conduct that poses a risk to the Platform or its users. Upon termination:

• Affiliate's access to the Platform is revoked immediately
• Pending legitimate commissions will be paid at the next scheduled payment cycle
• Commissions associated with fraud or policy violations are forfeited
• Confidentiality obligations remain in effect as per Section 10

14. Limitation of Liability

To the maximum extent permitted by applicable law, FluxOffer's total cumulative liability to you for any claim arising under this Agreement shall not exceed the total commissions paid to you in the 30 days preceding the claim. FluxOffer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities.

FluxOffer does not warrant that the Platform will be error-free, uninterrupted, or free from security vulnerabilities. Use of the Platform is at your own risk.

15. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Netherlands. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the competent courts of Amsterdam, Netherlands. The parties waive any objection to the exercise of jurisdiction by such courts.

16. Changes to Terms

FluxOffer reserves the right to modify these Terms at any time. Material changes will be communicated via email to registered users and/or a prominent notice on the Platform at least 14 days before taking effect. Continued use of the Platform following the effective date constitutes acceptance of the revised Terms. If you do not agree to a modification, you must terminate your account before the effective date.
